2. Definitions
hey@shop-found.com is a site administered on the World Wide Web by Found. "Website" or "site" refers to hey@shop-found.com. The "Client Websites", "Distributor Websites" and "Supplier Websites" are hosted by Found. The term "User", or collectively "Users", refers to any party accessing the Site. "Access" means viewing or obtaining information from hey@shop-found.com. "Agreement" refers to these Terms of Use and any subsequent modifications. "Personal Data" refers to User information voluntarily submitted to Found. by the User, including name, address, city, state, zip code, telephone number, e-mail address, job title and employer.

Found. offers hey@shop-found.com and the Customer Websites as a service to its distributors, suppliers, retailers and customers. The customer websites are designed to enhance relationships and support business processes between Found. and our distributors, customer influencers, suppliers and customers. Not all products may be available in all markets.
4. Acceptance of Terms
Please read the following terms of use and disclaimer carefully before using hey@shop-found.com. By accessing the site via the World Wide Web or any other means, the User acknowledges and accepts all the provisions set out in these terms of use.
Found. reserves the right to modify these Terms of Use at any time without notice to the User, including imposing fees for access to any portion of the materials contained on the Site. Any changes to these Terms of Use shall be effective upon receipt by the User of notice of the Found. Notice may be given by electronic mail, posting on the site, or other means by which the User may receive such notice. Users should check these Terms of Use periodically for changes. 6. Permitted uses
Found. grants the User a limited right to use the copyright information on the Site under the following conditions. ("Permitted Uses") You may, however, reproduce the content of the Site only for your own personal, non-commercial, educational and informational use, and only if you leave the reproduced content intact, accompanied by the appropriate credit and display of the copyright notice. Architects and designers may download and use the photo gallery section of this site in connection with bids or requests for proposals for the sale by us and our authorized distributors of our furniture and products to end customers, for internal training purposes, and for seminars. You may, therefore, download or print the contents of the site, provided that you do so for an Authorized purpose and that you do not remove or alter any information, including copyright and trademark notices. You may not otherwise print, copy, reproduce, distribute, license, transfer, sell, transmit, upload, store, publicly display, alter or modify any portion of the Site Content.
Permitted Use shall not constitute a transfer of ownership, and does not permit you to:

(e) Modify the information on the Website.
(f) Take any action that Found. determines is detrimental to the use and enjoyment of the Web Site.
(g) Use the Website for any illegal or defamatory purpose.
(h) Transmit, install, upload, post or otherwise transfer any information in violation of the laws of the United States or post any information that may result in civil liability.
(i) Use the content of the site in jurisdictions where the sale of products to which the content refers is not authorized.

Although Found. has made every effort to provide accurate information on the site, the company makes no warranties, express or implied, as to the reliability, accuracy, timeliness or completeness of such information and accepts no liability for any errors or omissions in such information. 1. Sales Promotions
Any contests, raffles, surveys, games, or similar promotions made available through shop-found.com or any of our retail locations may be governed by rules that are separate from this Agreement. If you participate in any of these promotions, please review the applicable rules as well as our Privacy Policy. If the rules for a Promotion conflict with this Agreement, the Promotion rules will govern and will be displayed in any in-store or online promotion within the emails and promotion content.

shop-found.com is a website operated by Design Allstudio Inc in Canada. Our registered headquarters and mailing address is 2050 Dandurand #210, Montréal, Canada, H2G 1Y9.
3. Ordering Products Online
You can place orders for products with us by following the process outlined on our site. You acknowledge that by placing an order with us, you will be under obligation to pay for the products once your order is accepted. Our order process allows you to check and change any errors before submitting your order to us. It is essential to take time to read and check your order at each stage of your ordering process. All orders are subject to acceptance by us. We will send you your order confirmation by e-mail after receiving your order. This is what will constitute acceptance by us. We will charge your chosen payment method after we accept your order. Unfortunately, we cannot stop an order once it has been dispatched for delivery. If you change your mind about your order at this point, you can reject the delivery or return the products to us in accordance with our Return Policy. Specific delivery and return shipment fees fall upon the customer as outlined in the Return Policy.
We reserve the right, without notification, to limit the order quantity on any item and/or refuse service to any customer. The verification of your information may be required prior to the acceptance of any order and includes the collection of personal information that will be processed in accordance with our Privacy Policy.
Prices and availability of products are subject to change without notice, as we reserve the right to revoke any stated offer to correct an offer, error, or inaccuracy that appears on the site, including after an order has been submitted.
We reserve the right, at our sole discretion, to refuse or cancel any order for any reason, or restrict or terminate any account for any reason, at our sole discretion.
4. Product Delivery and Estimated Time of Arrival
All product Estimated Time of Arrival that we give are estimates only. This means they can change at any time & Found cannot assume any responsibility for any product delays due to shipping or production.
5. Availability
All orders for products are subject to the availability of those products and the materials used for making those products. If for any reason, the products you have ordered are not available or are subject to any delay, we will inform you as soon as possible. Generally, pre-order items will be clearly displayed.
6. Images, Color, and Sizing of Products and Product Descriptions
We have made every effort to display the products, their colour, and their sizing accurately. However, any information presented through or on our Site is made available solely for general information purposes. We cannot guarantee that your computer will display the colours accurately or reflect the products' colour. The products delivered to you may vary slightly from those images. Although we have made every effort to be as accurate as possible, the measurements, dimensions, weights, and weight capacities shown on our Site are approximate only. Any reliance you place on such information is strictly at your own risk. We disclaim all responsibility and liability arising from such reliance placed on any materials and product information by you or any visitor to the Site. The Site may include content provided by third parties. Found. disclaims any responsibility for such products or services. Any transaction between any User and any third party mentioned on or found through the Site is solely between the User(s) and such third party(ies), and is subject to the terms, conditions, warranties or representations associated with such transactions.
Found. MAKES NO WARRANTIES, EXPRESS OR IMPLIED, AS TO THE RELIABILITY, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OF INFORMATION PROVIDED BY THIRD PARTIES. THIS INCLUDES, BUT IS NOT LIMITED TO, ANY INFORMATION FOUND ON A LINK ON THIS SITE THAT ALLOWS USERS TO ACCESS INFORMATION ON ANOTHER SITE. IN ADDITION, Found. DOES NOT WARRANT THE EXISTENCE OR FUNCTIONALITY OF ANY SITE THAT MAY BE ACCESSED THROUGH A LINK ON THIS SITE.
However, Found. has authorized the use of certain CHI-LLC files accessible at hey@shop-found.com to enhance the experience of Users of the website. These files include Z-Viewer files. Any product support provided for said files will be provided by Found, not CHI-LLC. These files are the intellectual property of CHI-LLC and are licensed, not sold, to Found. User agrees that the terms of this Agreement regarding the use of copyrighted content and any other intellectual property laws apply to the intellectual property of CHI-LLC. User also agrees not to reverse engineer any content owned by CHI-LLC.
10. Product InformationMost products on the Found. website are available subject to stock, and Found. cannot guarantee the availability of a product on the website at the time it is shown. In some cases, products may not be available at certain outlets or locations.
11. Indemnification
User agrees to defend, indemnify and hold harmless Found. and its officers, directors, agents, employees and assigns from and against any action or claim, including legal fees, related to User's use of this site.
12. Security
Users are prohibited from violating or attempting to violate the security of the Site. Found. will investigate possible violations and cooperate with all law enforcement authorities in prosecuting those responsible for such violations. Users are required to enter a user ID and password to access the secure extranets. To protect against unauthorized access to your account, it is recommended that you close your browser when you are finished using the site.
Users are prohibited from violating or attempting to violate the security of the Site, including, but not limited to:
(a) Obtain unauthorized access to any portion, feature or service offered by or through hey@shop-found.com, or any related system, server or network connected to the Site, by hacking, password "mining" or any other unauthorized means;
(b) Scan or test the vulnerabilit of the Site or any system, server or network connected to the Site; or
(c) Violate any security or authentication measures on the Site or any network connected to the Site;
(d) Conduct reverse lookups or otherwise seek any information, personal or otherwise, relating to another User or User's account, hey@shop-found.com, Found., or otherwise exploit any services or information made available by or through the Site. Users may receive their own information obtained by Found. in accordance with the terms of this Agreement;
(e) Take any action that imposes an unreasonable or disproportionately large load on the infrastructure of the hey@shop-found.com site, related systems, servers or networks;
(f) Use any device, software or other method to interfere or attempt to interfere with the normal performance, transactions or use of hey@shop-found.com by any other person.
13. Termination of the Agreement
Found. and the User may terminate this Agreement at either of their sole discretion. In addition to any other rights granted to it, Found. may terminate access to this site, cancel membership in any service provided by Found. on the site, if the User violates this Agreement in any way, or engages in any conduct deemed inappropriate by Found. In the event of termination of this Agreement, the provisions of this paragraph and the provisions of paragraphs 3, 4, 5, 6, 7, 8 and 9 shall remain in effect.

Links on hey@shop-found.com are provided for the convenience of the visitor. The presence of a link on this site does not constitute an endorsement or recommendation by Herman Miller, and a link should not be construed to imply that the linked site has any relationship with Herman Miller.
Generally, Found. does not object to links to hey@shop-found.com from third party sites. However, Found. does not authorize the use of frames for the purpose of redirecting to a page on this site without prior written permission. You are not permitted to use any Found. names, logos, designs, trademarks or service marks in or with your links unless you have specific written permission from Herman Miller to do so. As a general rule, Found. recommends that links from third party sites point to the first page/homepage of hey@shop-found.com.
15. Application of the Copyright
Found. respects the intellectual property rights of others and asks Users of the Site to do the same. Found. may, in its sole discretion, terminate the accounts or access rights of Users whose actions infringe or otherwise violate the intellectual property rights of others. If you believe that your work has been infringed, please provide Found. with the following information. :
(a) The physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed ;
(b) Identification of the copyrighted work claimed to have been infringed, or, in the case where multiple copyrighted works at a single online site are covered by a single notification, a representative list of the works at that site;
(c) Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit Found. to identify the material;

16. General
These Terms of Use constitute the entire agreement between Found. and the User with respect to the subject matter hereof. They supersede any prior agreement, oral or written, between Found. and the User with respect to the subject matter hereof. If, for any reason, any part of this Agreement is held to be unenforceable, it shall be deemed waived and shall not affect the enforceability of the remaining terms of the Agreement. Upon User's breach of the Agreement, Found. may pursue any legal or equitable remedy, including but not limited to seeking direct, consequential and punitive damages, and injunctive relief. The remedies sought by Found. are cumulative and not exclusive. No failure on the part of Found. to seek relief or to enforce any part of this Agreement at any time shall constitute a waiver of relief or of the right to enforce any part of the Agreement at a later time. User agrees that regardless of any statute or law to the contrary, any claim or action arising out of or relating to this Agreement must be filed within one (1) year after the claim or cause of action arises or be forever barred. Found. makes no representation that the content of the site is available or appropriate anywhere. It is the responsibility of the Users of this site to verify compliance with all applicable local laws. Any dispute arising out of or relating to this Agreement shall be subject to the jurisdiction of the State of Michigan, U.S.A., without regard to conflict of laws principles. Any action related to this Agreement must be brought and prosecuted in a local or federal court located in the State of Michigan, U.S.A., and each User consents to the exclusive jurisdiction and venue of said courts for this purpose.
17. Privacy Statement Information Collection: The information you provide to us
At Found. we value the trust you place in us. All of our employees/owners adhere to the highest ethical standards in the collection, use and protection of the data you choose to share with us. Information is only collected when Users voluntarily submit such information online or voluntarily create an account. Examples of the type of information we collect include: name, address, city, state, zip code, phone number, email address, job title and employer. We take reasonable steps to ensure that Personal Information is accurate, complete and up-to-date. We use Personal Data only internally and for the sole purpose of providing each User with the information they have voluntarily requested and to record acceptance of these Terms of Use. Users may choose to: ask Found. to remove the User's Personal Data stored in our database; access the Personal Data collected about the User; correct and update the information collected by sending a written request to the contact address above.
We do not rent, sell or trade information about visitors to our website, except as required by law. We restrict access to information about our visitors to authorized Herman Miller employees. Third parties who need access to hey@shop-found.com visitor information in order to provide operational support or other services to us are required by Found. to comply with our stringent security standards. The only visitor information we collect is that which is necessary to run our business and improve our websites.

Found. uses electronic tools to identify the type of browser and operating system used. This information is only intended to be used by Found. to understand the behavior of Users, which allows us to improve the quality and functionality of the site.

7. Prices of Products
We have made every effort to display the product prices accurately. However, the pricing of products may change from time to time, without notice and at our sole discretion. Due to the large number of products on our site, it is always possible that some of the products listed may be incorrectly priced, despite our efforts of accuracy. We have the right, outside of the laws residing in Quebec, CA, to cancel an order in the event that an order was caused by human or system error.

11. Risk and Ownership
Risk of loss and title for items purchased from shop-found.com to be delivered at a later date, pass to you upon our hand off to our delivery partners. Ownership of the products will pass to you when we receive your full payment for the sum of your order regarding the product(s), including delivery charges. The products become your responsibility from the time that you or a third party other than the delivery partner, take physical possession of the product(s).
12. Our Warranty
We hope you will be pleased with everything you purchase from Found. But we completely understand that things happen, and in the unlikely event that your items arrive to you in less than perfect condition, please do not hesitate to get in touch.
Our manufacturer's warranty covers all defects in materials and construction for one year from the product's delivery or the in-store purchase date.
If your order arrives to you damaged or faulty, please collect your order number, the date your damaged products came to you, and images that highlight the damages or defective attributes, and send them to our Customer Care department hey@shop-found.com. A member of our dedicated team will investigate and have a response to you within 72 business hours to let you know the next steps of the process.
If you experience any issues with your Found product relating to the delivery, assembly, or anything at all, please reach out to our team. We can organize replacement parts, repair, and in individual cases, a complete replacement. If any of these situations occur, we exclude any transportation costs. Please reach out to us to see what we can assist with.
It is essential for us to note that our warranties are non-transferable and are not extended to our As-Is or floor model items, or to re-sell or second-hand items. Our warranties are only valid when products are used for their intended purposes. Defects or damages resulting from misuse, accidents, abnormal use, modifications, normal deterioration due to wear, tear and exposure, corrosion or damage caused by rain, fire or other causes of acts of nature, or products used for but not listed as commercial-use items, will not be covered by our warranty.

13. Résiliation de l’Accord
Found. et l’Utilisateur peuvent l’un ou l’autre résilier cet Accord à leur entière discrétion. Outre les autres droits qui lui sont accordés, Found. peut résilier l’accès à ce site, annuler l’adhésion à tout service fourni par Found. sur le site, si l’Utilisateur viole cet Accord de quelque façon que ce soit, ou adopte une conduite jugée inappropriée par Found. Les réparations demandées par Found. sont cumulatives et non exclusives. Aucun manquement de la part de Found., dans la demande de réparation ou dans l’application de toute partie de cet Accord à quelque moment que ce soit, ne constituera une renonciation à une réparation ou au droit d’appliquer l’une ou l’autre partie de l’Accord à un moment ultérieur. L’Utilisateur accepte que, indépendamment de tout statut ou loi contraire, toute réclamation ou action résultant de ou concernant cet Accord doit être déposée dans un délai d’un (1) an suivant la survenue de la réclamation ou de la raison de l’action ou être à jamais interdite. Found. ne déclare en aucune façon que le contenu du site est disponible ou approprié partout. Il revient aux Utilisateurs de ce site de vérifier la conformité avec toutes les législations locales applicables. Le risque de perte et la propriété des articles achetés sur shop-found.com et devant être livrés ultérieurement vous sont transmis lorsque nous remettons les articles à nos partenaires de livraison. La propriété des produits vous sera transférée lorsque nous recevrons votre paiement complet pour le montant de votre commande concernant le(s) produit(s), y compris les frais de livraison. Les produits deviennent votre responsabilité à partir du moment où vous ou un tiers autre que le partenaire de livraison prenez physiquement possession du ou des produits.

Nous espérons que vous serez satisfaits de tout ce que vous achetez chez Found. Mais nous comprenons parfaitement que les choses peuvent arriver, et dans le cas où vos articles ne vous parviendraient pas en parfait état, n'hésitez pas à nous contacter.
Notre garantie fabricant couvre tous les défauts de matériaux et de construction pendant un an à compter de la date de livraison du produit ou de la date d'achat en magasin.
Si votre commande vous parvient endommagée ou défectueuse, veuillez relever votre numéro de commande, la date à laquelle les produits endommagés vous sont parvenus, ainsi que des images mettant en évidence les dommages ou les caractéristiques défectueuses, et envoyez-les à notre service d'assistance à la clientèle à l'adresse hey@shop-found.com. Un membre de notre équipe dévouée enquêtera et vous répondra dans les 72 heures ouvrables pour vous informer des prochaines étapes de la procédure.
Si vous rencontrez des problèmes avec votre produit Found concernant la livraison, l'assemblage ou quoi que ce soit d'autre, n'hésitez pas à contacter notre équipe. Nous pouvons organiser des pièces de rechange, des réparations et, dans certains cas, un remplacement complet. Si l'une de ces situations se produit, nous excluons les frais de transport. Il est essentiel de noter que nos garanties ne sont pas transférables et qu'elles ne s'appliquent pas à nos articles en l'état ou à nos modèles d'étage, ni aux articles revendus ou d'occasion.
